1. Acceptance of Terms

By accessing or using PhoneAIx (“Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must discontinue use immediately.

These Terms apply to all users, subscribers, organizations, agents, contractors, and entities accessing PhoneAIx.

2. Description of Service

PhoneAIx is a multi‑tenant SaaS platform providing agentic voice and communication solutions, including:

  • Inbound and outbound AI‑powered calls
  • SMS messaging and automation
  • Voice agents for sales, marketing, support, and receptionist workflows
  • Hybrid phone systems (traditional + agentic)
  • Twilio‑powered telephony services
  • Multi‑LLM orchestration (OpenAI, Copilot, Gemini, Claude, ElevenLabs, and others)
  • Mini‑CRM for leads and optional integration with DashCRM OS

Features may evolve as ZAMZILLA improves the platform.

3. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use the Service.

4. Account Registration

You agree to:

  • Provide accurate information
  • Maintain the security of your credentials
  • Accept responsibility for all activity under your account

ZAMZILLA may suspend or terminate accounts for violations of these Terms.

5. Subscription, Billing & Payments

5.1 Subscription Model

PhoneAIx operates on a subscription basis. By subscribing, you authorize recurring charges until canceled.

5.2 Billing

  • All fees are billed in advance
  • Fees are non‑refundable unless required by law
  • Prices may change with notice
  • Usage‑based telephony fees (Twilio, carrier charges, call minutes, SMS volume) may apply

5.3 Cancellations

You may cancel at any time. Cancellation stops future billing but does not refund past charges.

6. No Guarantees of Results

PhoneAIx does not guarantee:

  • Leads
  • Sales
  • Call outcomes
  • Conversion rates
  • Customer responses
  • Business performance
  • Deliverability of SMS or calls (carrier‑dependent)
  • AI accuracy or reliability

All outcomes depend on your market, strategy, competition, and execution.

This clause aligns with ZAMZILLA’s global “No Guarantee” policy.

7. Telephony Services & Compliance

7.1 Twilio Integration

PhoneAIx integrates with Twilio for telephony services. You acknowledge that:

  • Twilio’s terms, carrier rules, and telecom regulations apply
  • PhoneAIx is not responsible for Twilio outages, carrier filtering, or telecom restrictions
  • You must comply with all applicable laws (TCPA, CTIA, FCC, GDPR, CAN‑SPAM, etc.)

7.2 Responsible Use

You agree not to use PhoneAIx for:

  • Spam or unsolicited messaging
  • Fraudulent or deceptive calls
  • Harassment or abuse
  • Illegal robocalling
  • High‑risk or prohibited industries (unless approved)

Violations may result in immediate termination.

8. User Data & Content

8.1 Ownership

You retain ownership of:

  • Leads
  • Contacts
  • Call logs
  • SMS logs
  • Uploaded files
  • CRM data
  • Notes

8.2 License to Operate the Service

You grant PhoneAIx a limited license to process your data solely to:

  • Provide the Service
  • Improve performance
  • Maintain security
  • Deliver AI‑powered features

ZAMZILLA does not sell your data.

8.3 Data Responsibility

You are responsible for ensuring you have the legal right to upload, store, or process any data you provide.

9. Prohibited Activities

You agree not to:

  • Reverse engineer PhoneAIx or any ZAMZILLA platform
  • Copy or replicate workflows, agentic logic, or proprietary systems
  • Reproduce GEO/SEO structures
  • Attempt unauthorized access
  • Interfere with platform operations
  • Use the Service for unlawful purposes
  • Deploy agents that violate telecom or AI compliance laws

Violations may result in termination and legal action.

10. Intellectual Property

All PhoneAIx and ZAMZILLA intellectual property—including:

  • Software
  • AI models
  • Voice agents
  • Workflows
  • Automations
  • Branding
  • Designs
  • Platform logic
  • Multi‑agent orchestration
  • Hybrid phone system architecture
  • Templates and agentic frameworks

—is owned exclusively by ZAMZILLA.

You receive a limited, non‑exclusive, non‑transferable license to use the Service during your subscription.

You may not copy, resell, sublicense, or replicate any part of the platform.

11. AI, LLMs & Voice Systems

By using PhoneAIx’s AI features, you acknowledge:

  • AI outputs may contain errors
  • You are responsible for reviewing and verifying results
  • AI‑generated content is provided “as‑is”
  • LLM behavior may vary across providers
  • You must comply with all laws when using AI for outreach, calling, or messaging

12. Third‑Party Services

PhoneAIx may integrate with third‑party tools (Twilio, CRMs, LLM providers, payment processors). ZAMZILLA is not responsible for:

  • Third‑party outages
  • Third‑party data handling
  • Third‑party compliance failures
  • Changes in third‑party pricing or policies

13. Service Availability

ZAMZILLA strives for high uptime but does not guarantee:

  • Uninterrupted service
  • Error‑free performance
  • Data availability at all times

Maintenance, updates, or outages may occur.

14. Termination

ZAMZILLA may suspend or terminate your account if you:

  • Violate these Terms
  • Misuse the platform
  • Engage in fraudulent or abusive behavior
  • Breach telecom or AI compliance laws

Upon termination:

  • Your license to use the Service ends
  • ZAMZILLA may delete your data after a reasonable period

15. Limitation of Liability

To the fullest extent permitted by law:

PhoneAIx and ZAMZILLA are not liable for:

  • Loss of revenue
  • Loss of leads
  • Loss of data
  • Business interruption
  • Indirect, incidental, or consequential damages

Total liability is limited to the amount you paid in the last 30 days.

16. Indemnification

You agree to indemnify and hold harmless PhoneAIx, ZAMZILLA, and all affiliated entities from claims arising from:

  • Your use of the Service
  • Your uploaded data
  • Your calls, SMS messages, or AI agent actions
  • Your violation of these Terms
  • Your violation of applicable laws

17. Privacy

Your use of the Service is governed by our Privacy Policy. By using PhoneAIx, you consent to our data practices.

18. Modifications to Terms

ZAMZILLA may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict‑of‑law principles.
